Terms of Service

These terms govern your use of Fairway, the software-as-a-service product operated by Grantive Ltd. By creating an account, signing in, or using the app, you accept these terms. If you don't agree, please don't use the service.

1. Who provides the service

Fairway is provided by Grantive Ltd, a company registered in England and Wales. Our registered email is [email protected]. References to "we," "us," or "Grantive" mean Grantive Ltd; references to "you" mean the club, club administrator, or individual member accepting these terms.

2. Who can sign up

• Club accounts: Fairway is sold to golf and members' clubs through our marketing site. You confirm you have authority to enter into a binding contract on behalf of the club.
• Member accounts: individual member accounts are created either by the club admin directly, or by a member who enters a club-issued access code provided by their admin. There is no public self-signup for members independent of a club.
• Age: you must be at least 16 to create an account. Junior memberships under 16 must be set up by a parent or guardian and managed through the club admin.

3. Subscription & billing

• Subscriptions are per-member-per-month, billed via Stripe in pounds sterling. Tiers (Essentials, Growth, Club Pro) and current prices are shown at fairwaybygrantive.com/#pricing.
• The member count is determined automatically each billing cycle; adding or removing members prorates the bill to the day.
• VAT is added at checkout where applicable.
• Annual plans are billed once a year; monthly plans are billed every month.
• Optional add-ons (concierge setup, website packages) are billed alongside the subscription per their published prices.
• Free trials, where offered, convert to paid on the trial end-date unless you cancel first.

4. Cancellation & refunds

• You can cancel at any time from the Billing section of your admin dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then.
• We do not pro-rate refunds for partial periods, except: (a) within the 14-day money-back guarantee on the Essentials tier, and (b) where required by UK consumer-protection law.
• Website-build fees are non-refundable once design work has started; the cancellation right under the Consumer Contracts Regulations 2013 lapses when you confirm work may begin.

5. Acceptable use

You agree not to:

• Use the service to send spam, phishing, or unsolicited bulk communications;
• Upload content that is illegal, defamatory, or infringes anyone's intellectual property;
• Attempt to break the security or reverse-engineer the service;
• Scrape, mine, or otherwise extract data using automated tools beyond the limits of our public API;
• Resell or sublicense access to the service without our written permission;
• Impersonate another person or club.

We may suspend or terminate accounts that breach these rules.

6. Your data & the club–member relationship

The data your club holds about its members is the club's data. We process it on the club's behalf as a Data Processor; see our Privacy Policy for the full picture. Clubs are responsible for: collecting any consents required from members, providing the lawful basis for processing member data, responding to member rights requests in the first instance, and notifying us of any data-subject requests they need our help with.

7. Ownership of the service

The Fairway software, brand, designs, copy, and underlying technology are owned by Grantive Ltd. Your subscription gives you a non-exclusive, non-transferable right to use the service for the agreed purpose for as long as your subscription is active. It does not transfer any intellectual property to you.

Any content you upload (logos, photos, member data, copy) remains yours; you grant us a licence to host, display, and back it up as required to provide the service.

8. Service availability

We aim for 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance where possible. Unscheduled outages will be acknowledged on a status page and remediated as quickly as practical.

9. Disclaimers & limitation of liability

The service is provided "as is" without express or implied warranties beyond those that cannot be excluded under UK law. We do not warrant that the service will be error-free, uninterrupted, or meet any specific requirement.

To the maximum extent permitted by law:

• Our total liability to you under or in connection with these terms in any 12-month period is capped at the fees you paid us in that period;
• We are not liable for indirect, consequential, or special damages, loss of profits, loss of goodwill, or loss of business opportunity;
• Nothing in these terms limits liability for death, personal injury, fraud, or anything else that cannot be excluded by law.

10. Indemnity

You agree to indemnify us against any third-party claim arising from your breach of these terms, your misuse of the service, or content you upload that infringes someone's rights — subject to the liability cap in clause 9.

11. Changes to these terms

We may update these terms from time to time. Material changes will be notified to club admins by email at least 30 days before they take effect, except where a change is required by law or to fix a security risk, in which case it may take effect immediately. The "Last updated" date at the top of this page reflects the most recent revision.

12. Termination

You may terminate at any time by cancelling your subscription. We may terminate immediately for serious breach (clauses 5, 7, or 10), failure to pay, or where we are required to by law. On termination, your access ceases and your data is retained per the schedule in our Privacy Policy.

13. Governing law & jurisdiction

These terms are governed by the laws of England and Wales. Any dispute will be resolved exclusively by the courts of England and Wales, except that we may bring enforcement proceedings in the jurisdiction where you are based.
